Terms of Service

Lotus is a technology platform owned and operated by ESFERA DESIGN LTDA., a private legal entity registered under CNPJ 44.760.412/0001-03 (hereinafter referred to simply as "Lotus"), aimed at software builders and engineering teams. It is an online service provider that offers its users a set of tools designed to simplify and accelerate their work — in particular the creation, editing, review, and sharing of code, pull requests, and related software artifacts — powered by Generative AI.
Full understanding, consent, and acceptance of these terms are required to use Lotus. Accessing and using the platform implies tacit agreement with these terms and their content.
1. Definitions
The following definitions apply alongside other terms defined in this document:
- "Lotus": Platform operated by ESFERA DESIGN LTDA., registered under CNPJ 44.760.412/0001-03, owner and operator of the Platform, which can be contacted at contact@trylotus.ai or as indicated on the Platform.
- "Customer": the person who uses the Platform to — depending on access level — upload, create, send, receive, access, archive, delete, download, and manage code and related artifacts.
- "Account": the means through which the Customer accesses and uses the Platform. An Account may be operated by one or more Customers. A Customer may operate multiple Accounts.
- "Artifact": any code, pull request, file, or output generated on the Platform.
- "Platform": the systems accessible through the site https://app.trylotus.ai, as well as associated applications and networks administered by Lotus.
- "User": anyone browsing or using the Platform.
- "Chargeback": a credit reversal.
- "Code Context": existing source code, documentation, and repository content that may be referenced and used by the Platform to inform generated artifacts.
2. Acceptance and Modification of These Terms
2.1. By using any feature of the Platform, the User confirms that they have read, understood, and accepted these Terms in their entirety, without modification. If the User does not agree with these Terms, they should not use the Platform.
2.2. The User acknowledges that the Platform operates through APIs from various partner companies that maintain robust information security systems. By using the Platform, the User consents to this operating model.
2.3. Lotus may, in good faith, change any part of these Terms upon notice to the Customer and publication of the updated version on its site. If the Customer or any User continues to use and/or access the Platform, they will be considered, for all legal purposes and effects, to have agreed to the new version of the Terms of Use.
3. Conditions for Access and Use
3.1. Lotus grants the User a non-exclusive, non-transferable, non-sublicensable, limited, and revocable right to access and use the Platform, conditioned on compliance with the rules established in this document and any applicable commercial limits.
3.2. The Platform is provided on an "as is" and "as available" basis. Lotus may, at its sole discretion, update, change, add, or remove any part of the Platform, in whole or in part, at any time.
3.3. Registration: to use the Platform, Users must register or create an account with Lotus, providing all requested data or information in a complete and accurate manner. Failure to do so will result in unavailability of the Service. Users are responsible for keeping their authentication credentials confidential and secure, and must choose passwords that meet the highest strength standards allowed by the Platform.
3.3.1. By registering, Users agree to be fully responsible for all activity that occurs under their username and password. Users must immediately and unequivocally inform Lotus — using the contact details provided in this document — if they believe their personal information, including but not limited to User accounts, access data, or personal data, has been breached, improperly disclosed, or stolen.
3.4. Use of the Platform is restricted to individuals over 18 years of age. By signing up for and using the services offered by the Platform, the User declares that they are of legal age and have full civil capacity.
3.5. Lotus is not liable for any loss arising from unauthorized use of the Customer's login and password, with or without the Customer's knowledge. The Customer must immediately notify Lotus of any improper or unauthorized use of their Account.
3.6. The Platform's features available to the Customer may vary according to the service plan contracted.
3.7. The Customer is solely and exclusively responsible for the registration information entered on the Platform. The Customer undertakes to guarantee the full accuracy and truthfulness of the information provided, as well as to keep it always up to date.
3.8. In case of doubt about the accuracy or truthfulness of the information communicated by the User, or when such doubts are brought to its attention by third parties, Lotus reserves the right to suspend the Customer's access to their Account for verification and authentication of identity.
3.9. The Customer acknowledges and agrees that:
- the tools for creating, editing, reviewing, and sharing code and related artifacts via Generative AI, made available through the Platform, are suitable for their purpose — namely to accelerate software development activities — which, in any case, does not imply the replacement of the intellectual activity of verifying, correcting, validating, and, above all, taking full responsibility for the use and deployment of any content generated on the Platform;
- they are responsible for being diligent, carefully analyzing, correcting, verifying, rectifying, repairing, and amending all information and content contained in each generated artifact.
3.10. The Customer agrees that they are solely and exclusively responsible for the use and distribution of the Artifact generated on the Platform, understanding that it is NOT free of errors, security issues, or similar problems, and was NOT designed to reflect the full intended behavior accurately in every case.
3.11. The User agrees to use the Platform appropriately, committing to:
- not infringe the rights of third parties, including copyright, industrial property rights, privacy, and others;
- refrain from engaging, through the Platform, in any illegal, immoral, unethical act, contrary to good customs, or that disrespects any term of this instrument;
- refrain from any practice that may violate the protection of Lotus's and/or any third party's intellectual property rights;
- not engage in any act that impairs Lotus's ability to provide the Platform to other Customers or that otherwise harms it;
- perform all activities necessary to comply with these Terms, using the means made available by the Platform;
- comply with all laws and regulations applicable to their activity.
3.12. Any adversarial prompting technique within the Lotus Platform is strictly prohibited, including Prompt Injection, Prompt Leaking, and Jailbreaking.
3.13. Failure to comply with any of the User's obligations within the Lotus Platform will result in the immediate and definitive exclusion of the User from the Platform, without the need for prior notice.
4. Credit Acquisition and Use
4.1. Service provision by the Lotus Platform takes place, by default, through subscription to a credit package, with monthly or annual billing.
4.2. According to the plan contracted, credits will be made available for use within the corresponding period — whether monthly or annual.
4.2.1. Credits acquired via monthly plan are valid for up to 30 days and do not accumulate.
4.2.2. Credits acquired via annual plan are released in full at the time of contracting and are valid for 364 days.
4.4. Acquired credits may be used for:
- AI-powered code generation and pull request creation;
- AI coding assistant interactions;
- Codebase search, review, and analysis.
4.10. Plan cancellation does not generate the right to a proportional refund for unused periods.
5. Intellectual Property
5.1. The User acknowledges and agrees that all technological resources of the Platform are and will remain the sole and exclusive property of Lotus.
5.3. All media, software, text, images, logos, and technology of the Platform are the exclusive property of Lotus or its licensors.
6. Warranties and Liability
6.1. The exclusion of warranties and limitation of liability constitute a fundamental element of the Lotus business model.
6.4. Lotus does not guarantee specific technical outcomes, successful deployments, or the suitability of generated artifacts for any concrete use case. Technical verification and validation remain exclusively the responsibility of the User.
6.12. Lotus respects privacy and the protection of personal data in accordance with the Brazilian General Data Protection Law (LGPD, Law No. 13.709/2018).
7. Codebase Search and Analysis
7.1. The Lotus Platform may provide tools to search, analyze, and reference source code from public and open repositories, as well as from the User's own connected repositories.
8. Termination
8.1. The Customer may cancel their use of the Platform at any time. Lotus may suspend or cancel accounts in the event of any violation of these Terms.
9. General Provisions
9.5. Technical support: contact@trylotus.ai, with a response time of up to 72 business hours.
9.6. Term: These Terms are in effect for an indefinite period.
10. Governing Law and Jurisdiction
10.1. These Terms are governed by the laws of the Federative Republic of Brazil. Elected jurisdiction: Judicial District of Curitiba, State of Paraná.
